Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Zlycloud ("Company", "we", "us") governing your access to and use of Zlycloud's CDN, cloud security, storage, and related services (collectively, "Services").

By creating an account, accessing the dashboard, or using any Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using Services on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, you may not use our Services.

2. Services

2.1 Service Description

Zlycloud provides global content delivery network (CDN), DDoS protection, Web Application Firewall (WAF), bot management, object storage, and related infrastructure services. Specific features and capabilities are described in our documentation and applicable service plans.

2.2 Service Changes

We reserve the right to modify, suspend, or discontinue any Service or feature at any time with reasonable notice. We will provide at least 30 days' notice for material changes that negatively impact your use of the Services.

2.3 Beta Services

Services labeled "Beta", "Preview", or "Experimental" are provided as-is without warranty and may be discontinued without notice. SLA commitments do not apply to Beta services.

3. Accounts & Registration

  • You must provide accurate and complete registration information and keep it updated
  • You are responsible for maintaining the confidentiality of your login credentials
  • You are responsible for all activity that occurs under your account
  • You must immediately notify us of any unauthorized use of your account at security@zlycloud.io
  • Each account may only be used by one organization or individual — sharing accounts between organizations is prohibited
  • You must be at least 18 years old to create an account

4. Acceptable Use Policy

4.1 Permitted Use

You may use our Services only for lawful purposes in accordance with these Terms and all applicable laws and regulations.

4.2 Prohibited Activities

You may not use our Services to:

  • Conduct, facilitate, or proxy DDoS attacks, botnets, or any form of network abuse
  • Distribute malware, ransomware, spyware, or other malicious software
  • Host or transmit child sexual abuse material (CSAM) or illegal pornography
  • Engage in phishing, fraud, identity theft, or impersonation
  • Violate any third party's intellectual property rights
  • Send unsolicited bulk email (spam) or SMS messages
  • Mine cryptocurrency without explicit written permission
  • Circumvent, disable, or interfere with security features of our platform
  • Resell or sublicense our Services without written authorization
  • Exceed the resource limits of your service plan in a way that degrades other customers' service

4.3 Content Responsibility

You retain ownership of all content you transmit through our network. You are solely responsible for ensuring that your content and its distribution comply with applicable laws and do not infringe any third-party rights. We act as a passive conduit and do not monitor content in real time.

5. Payment & Billing

5.1 Fees

You agree to pay all fees associated with your selected service plan. Fees are stated in USD unless otherwise specified. All fees are exclusive of applicable taxes.

5.2 Billing Cycle

Subscription fees are billed monthly or annually in advance. Bandwidth overage and usage-based charges are billed in arrears at the end of each billing period.

5.3 Payment Methods

We accept major credit/debit cards and bank transfers. For Vietnamese customers, SePay VietQR payment is available. Payment details are processed by our payment partners and are subject to their terms.

5.4 Late Payment

Unpaid invoices accrue interest at 1.5% per month. We reserve the right to suspend Services for accounts with overdue balances after 14 days' notice.

5.5 Refunds

Monthly subscription fees are non-refundable. Annual subscriptions are eligible for a pro-rated refund within the first 30 days. Setup fees and one-time charges are non-refundable. Credits for SLA violations are governed by our SLA Policy.

6. Intellectual Property

Zlycloud and its licensors retain all right, title, and interest in the Services, including all software, documentation, trademarks, and technology. These Terms grant you a limited, non-exclusive, non-transferable license to use the Services during the term of your subscription.

You retain ownership of your content and grant Zlycloud a limited license to process, cache, and transmit your content solely to provide the Services.

7. Confidentiality

Each party may have access to the other party's confidential information. Both parties agree to: (a) keep confidential information strictly confidential; (b) use it only to fulfill obligations under these Terms; and (c) not disclose it to third parties without prior written consent, except as required by law.

Confidentiality obligations survive termination of these Terms for a period of three (3) years.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Services will be uninterrupted or error-free; (b) defects will be corrected; or (c) the Services are free of viruses or other harmful components. Our SLA commitments are governed exclusively by the SLA Policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZLYCLOUD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ZLYCLOUD IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Termination

10.1 By You

You may terminate your account at any time by contacting support or through the dashboard. Termination takes effect at the end of the current billing cycle for prepaid subscriptions.

10.2 By Us

We may suspend or terminate your access immediately if you: (a) materially breach these Terms; (b) fail to pay outstanding fees; (c) engage in prohibited activities; or (d) pose a risk to our network or other customers.

10.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days post-termination, during which you may export it. After that period, data may be permanently deleted.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to conflict of law principles. Any disputes arising from these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration administered by the Singapore International Arbitration Centre (SIAC).

Either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
